These Terms of Service ("Terms") form a legally binding agreement between you and Hey Clio, Inc. ("Clio," "we," "us," or "our"). By creating a Clio account or using the Clio app or website, you agree to these Terms. If you do not agree, do not use Clio.
If you are under 18, a parent or guardian must also agree to these Terms on your behalf. By allowing a minor to use Clio, a parent or guardian agrees to these Terms and is responsible for that minor's compliance with them.
Note: Section 10 contains important information about dispute resolution, including arbitration for adult users and limitations on class actions. Please read that section carefully.
Clio is intended for students who are 13 years of age or older and currently enrolled in a school that uses Google Classroom. By creating an account, you represent that you meet these requirements.
Clio is not intended for children under 13. If you are under 13, you may not create an account or use Clio. If we become aware that a user is under 13, we will immediately suspend the account and delete all associated data.
Clio is currently available in the United States only.
You create a Clio account by providing your first name and mobile phone number. You may also create an account using an email address and password, or via third-party sign-in. You are responsible for keeping your login credentials secure and for all activity that occurs under your account.
You agree to provide accurate information when creating your account and to keep it current. Providing false information — including a false age — is a violation of these Terms and may result in account suspension or termination.
Each student may create one Clio account. Creating multiple accounts is not permitted.
You are responsible for maintaining the security of your account. If you believe your account has been compromised, contact us immediately at privacy@heyclio.ai. We are not liable for any loss resulting from unauthorized access to your account where you have not taken reasonable steps to secure it.
You may delete your account at any time through the app's settings. Account deletion is immediate and permanent. All personal data associated with your account will be deleted immediately upon account closure. See our Privacy Policy for details.
Clio is an AI-powered academic assistant designed to help students stay organized, prepare for tests, and review their work against their teacher's expectations. Understanding what Clio does — and does not do — is important.
Academic integrity: Using Clio to complete academic work that is meant to be your own — and submitting it as your own — may violate your school's academic integrity policy. Clio is designed to help you learn, not to do your work for you. How you use Clio is your responsibility.
Clio uses artificial intelligence to generate responses, practice questions, and feedback. AI can make mistakes. Clio's responses are not a substitute for your teacher's instruction and should not be treated as authoritative. Always verify important information with your teacher or a reliable source.
Connecting your Google Classroom account to Clio is a two-step process. First, your school must enable Clio in its Google Workspace for Education settings — this is a decision made by your school's IT administrator. Once your school has enabled Clio, you authorize the connection yourself using Google's standard sign-in process. Both steps are required: your school enables access, and you choose to connect. You can revoke your authorization at any time through the app's settings or through your Google account at myaccount.google.com/permissions.
Clio's access to Google Classroom is read-only. Clio will not post, submit, modify, or delete anything in Google Classroom on your behalf.
Your school controls which third-party apps students can connect through Google Workspace for Education. Your school's IT administrator must enable Clio before you can connect your Google Classroom account. If Clio has not been enabled by your school, the app will offer you the option to send a request to your school's IT administrator. Whether your school chooses to enable Clio is your school's decision, not ours.
Clio's features depend on the information your teachers post in Google Classroom. If your teachers post limited materials, Clio's ability to help you may be limited. Clio is not responsible for the completeness or accuracy of information provided by your school or teachers through Google Classroom.
Clio depends on Google Classroom's availability. If Google Classroom is unavailable, some Clio features may be limited. Clio will continue to function using previously imported data where possible, but cannot guarantee full functionality during Google service outages.
Your use of Clio must comply with your school's policies regarding technology use, academic integrity, and acceptable use of school-provided accounts. We are not responsible for ensuring your use of Clio complies with your school's specific policies. That is your responsibility.
You agree to use Clio only for lawful purposes and in accordance with these Terms. The following uses are prohibited.
When you submit homework, photos, files, or chat prompts to Clio, you represent that you have the right to submit that content and that doing so does not violate any third party's rights. You retain ownership of content you submit. By submitting content to Clio, you grant us a limited license to process it for the purpose of providing Clio's features to you.
We reserve the right to suspend or terminate your account if you violate these Terms. We may do so immediately and without notice for serious violations. For less serious violations, we will generally provide notice and an opportunity to correct the issue before taking action.
Report a problem: If you become aware of any misuse of Clio or a potential security issue, please report it to us at privacy@heyclio.ai. We take security and misuse seriously and will investigate all reports promptly.
Clio offers a free plan and paid subscription plans (Student and Family). Paid plans add homework review, curriculum-specific practice tests, and AP exam preparation. See heyclio.ai/pricing for what each plan includes.
Free plan users may access paid features a combined total of three times. After that, a paid subscription is required.
Subscriptions are purchased on the Clio website, not in the app. By purchasing, you authorize recurring charges to your payment method until you cancel.
Prices are in US dollars, exclusive of taxes. We may change pricing with at least 30 days' notice. You may cancel before a price change takes effect if you do not agree.
Cancel anytime through your account settings on the Clio website. Cancellation takes effect at the end of the current billing period. No prorated refunds for mid-period cancellations.
Fees are generally non-refundable. Contact privacy@heyclio.ai within 14 days of a charge if you believe a refund is warranted. We review requests case by case.
Failed payments trigger a 30-day grace period — account suspended, data retained. If not resolved within 30 days, the account and all data are permanently deleted. We will notify you before this occurs.
You are responsible for applicable taxes. Where required by law, we collect and remit sales tax on your behalf.
Parent accounts may be created by parents or legal guardians of students with a Clio account. By creating one, you represent that you are the parent or legal guardian of the linked student.
Parent accounts are initiated by the student. When a student requests an upgrade in the app, Clio sends a unique link to the designated parent. Clicking it takes the parent to the website to create an account and purchase a subscription. The student's name is shown for confirmation before account creation is complete.
Parent accounts provide a read-only summary view of the linked student's Clio activity as described in our Privacy Policy. Parents agree to use this access only for legitimate parental oversight.
By linking a parent account and purchasing a subscription, the parent or guardian accepts responsibility for the student's compliance with these Terms.
If a parent cancels, the linked student account reverts to the free plan — student data is not deleted. If a parent deletes their account, their own data is deleted but the student account remains active on the free plan.
Important — age of student: Clio is for students 13 and older. If you are a parent and your child is under 13, do not create an account or allow your child to use Clio. Contact us at privacy@heyclio.ai if you believe an under-13 user has an account.
The Clio app, website, and all content, features, and functionality — including but not limited to software, text, graphics, logos, and icons — are owned by Hey Clio, Inc. and are protected by copyright, trademark, and other intellectual property laws. You may not copy, reproduce, distribute, modify, or create derivative works of our content without our express written permission.
You retain ownership of content you create and submit directly to Clio, including homework submissions, chat prompts, and profile information. By submitting content, you grant Hey Clio, Inc. a limited, non-exclusive, royalty-free license to use, store, and process that content solely for the purpose of providing Clio's features to you. This license ends when you delete your content or close your account. Where your school or district has entered into a data privacy agreement with us, the terms of that agreement may provide your school or district with additional authority over data that originates from school systems, and the data privacy agreement controls to the extent it conflicts with these Terms.
The course materials, assignments, and other content that your teachers post in Google Classroom are owned by your school, your teachers, or their respective creators. Clio accesses this content with your authorization to power its features. You may not extract, copy, or distribute this content through Clio for purposes other than your own academic use.
If you provide feedback, suggestions, or ideas about Clio, you agree that we may use this feedback without restriction or compensation to you. You waive any rights you may have in such feedback.
"Hey Clio," "Clio," and the Clio logo are trademarks of Hey Clio, Inc. You may not use our trademarks without our prior written permission.
Clio is provided "as is" and "as available" without warranties of any kind, either express or implied. We do not warrant that Clio will be uninterrupted, error-free, or free of harmful components. We do not warrant that the information provided through Clio — including AI-generated content and Google Classroom data — is accurate, complete, or suitable for any particular purpose.
Clio is a tool to support your learning — it does not guarantee improved grades, academic outcomes, or exam results. Your academic success depends on many factors, most of which are outside Clio's control. We are genuinely committed to helping you do better, but we cannot and do not guarantee specific outcomes.
To the fullest extent permitted by applicable law, Hey Clio, Inc., its officers, directors, employees, and agents will not be liable to you for any indirect, incidental, special, consequential, or punitive damages — including loss of data, loss of academic opportunity, or damage to your device — arising from your use of or inability to use Clio, even if we have been advised of the possibility of such damages.
Our total liability to you for any claim arising from or relating to Clio or these Terms will not exceed the greater of (a) the amount you paid us in the 12 months before the claim arose, or (b) $100.
Some jurisdictions do not allow the exclusion or limitation of certain warranties or liability. In those jurisdictions, our liability is limited to the maximum extent permitted by law. Nothing in these Terms limits our liability for fraud, gross negligence, or intentional misconduct.
You agree to defend, indemnify, and hold harmless Hey Clio, Inc. and its officers, directors, employees, and agents from any claims, damages, losses, or expenses — including reasonable attorneys' fees — arising from your use of Clio, your violation of these Terms, or your violation of any third party's rights.
Before filing any formal dispute, you agree to contact us at privacy@heyclio.ai and give us 30 days to try to resolve the issue informally. Most problems can be resolved this way, and we take all concerns seriously.
If you are 18 or older and we cannot resolve a dispute informally, you and Hey Clio, Inc. agree to resolve the dispute through binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. Arbitration will be conducted in Delaware or, at your option, by video or telephone. The arbitrator's decision will be final and binding and may be entered as a judgment in any court of competent jurisdiction.
By agreeing to arbitration, you waive your right to a jury trial and your right to participate in a class action lawsuit against Hey Clio, Inc. for any dispute covered by this section.
If you are under 18, the arbitration agreement above does not apply to you. Disputes involving minor users will be resolved in the state or federal courts located in Delaware, and both parties consent to the personal jurisdiction of those courts.
Either party may bring an individual claim in small claims court instead of arbitration, provided the claim qualifies for small claims court in the relevant jurisdiction.
For users who are 18 or older: all disputes must be brought in your individual capacity only, and not as a plaintiff or class member in any class or representative action. The arbitrator may not consolidate more than one person's claims. This waiver does not apply to users who are minors.
These Terms are governed by the laws of the State of Delaware, without regard to its conflict of law provisions. For disputes not subject to arbitration, you agree to submit to the exclusive jurisdiction of the state and federal courts located in Delaware.
We may update these Terms from time to time. We will notify you through the app at least 14 days before material changes take effect. Continued use after that date means you accept the updated Terms.
We may suspend or terminate your access at any time. Without-cause terminations include a prorated refund of prepaid fees. For-cause terminations (e.g., Terms violations) do not.
You may stop using Clio and delete your account at any time. Termination does not affect rights or obligations that arose before it.
These Terms, our Privacy Policy, and any applicable data privacy agreement between Hey Clio, Inc. and your school or district constitute the entire agreement between you and Hey Clio, Inc. regarding Clio, superseding all prior agreements.
If any provision is found unenforceable, it will be modified to the minimum extent necessary, and the remaining provisions continue in full effect.
Our failure to enforce any provision does not constitute a waiver of that provision.
You may not assign your rights under these Terms without our written consent. We may assign ours freely, including in a merger or acquisition.
